Studio KGD (“The Designer”) — Client (“The Client”)
This agreement outlines the terms and conditions under which Studio KGD will provide graphic design services to the Client. It is a general agreement applicable to any design project, regardless of scope. By submitting payment for the initial project deposit, the Client accepts and is legally bound by all terms contained in this Agreement.
SCOPE OF SERVICES
Studio KGD will provide professional graphic design services, which may include, but are not limited to: branding and visual identity, brochures, catalogs, printed materials, digital design, social media design, corporate presentations, promotional materials, editorial design, layout work, and adaptations or redesigns of existing materials.
Each project will have a defined scope outlined in its proposal. Any services not specified in the proposal will be considered additional work and quoted separately.
FEES, PAYMENTS, AND DEPOSIT
All projects require a non-refundable initial deposit, typically 50%, in order to begin work. The remaining balance must be paid prior to final delivery of the files. No work will begin until the deposit is received.
Additional work requested by the Client will be quoted separately and must be approved before being executed.
Accepted payment methods: e-Transfer, bank transfer, credit card, or electronic invoicing.
DELIVERY TIMELINES
Delivery timelines will be specified in each proposal. The Client understands that these timelines may vary depending on how quickly the Client provides content, approvals, or feedback.
The Designer is not responsible for delays caused by the Client’s lack of response.
If the Client fails to provide required information or responses within 14 business days, the project may be paused without obligation to maintain the original delivery date.
CLIENT RESPONSIBILITIES
The Client agrees to provide all necessary text, images, logos, and materials required to complete the project.
The Client is responsible for ensuring that all provided materials have proper usage rights.
The Client agrees to review and approve work in a reasonable timeframe.
The Designer is not responsible for errors or copyright issues arising from content supplied by the Client.
REVISIONS
The proposal will specify the number of revision rounds included.
Additional revisions will incur extra charges based on current rates.
Major changes that alter the original structure or scope of the project will be treated as additional work.
FINAL FILE DELIVERY
The Designer will deliver the final files in the agreed-upon formats (PDF, PNG, JPG, AI, PSD, INDD, or others).
Unless explicitly stated in the proposal, editable source files or design files are not included and will only be provided at an additional cost.
INTELLECTUAL PROPERTY AND USAGE RIGHTS
The Client will obtain commercial usage rights to the final design once the project is paid in full.
The Designer retains copyright ownership of all concepts, drafts, unused designs, and working files.
The Designer may showcase the completed project in portfolios, social media, or promotional materials unless confidentiality is requested in writing.
CONFIDENTIALITY
Both parties agree to keep confidential any sensitive or private information shared during the project.
PROJECT CANCELLATION
If the Client cancels the project after it has begun, the initial deposit is non-refundable.
If the work completed exceeds the value of the deposit, the Client must pay the difference.
If the Designer terminates the project for justified reasons (non-payment, breach of terms, inappropriate conduct), only the work that has been fully paid for will be delivered.
LIMITATION OF LIABILITY
Studio KGD is not responsible for commercial outcomes related to the use of the design, errors in client-provided text or content, or issues arising from modifications made by third parties after delivery.
LEGAL FEES
In cases of non-payment or required legal action, all collection costs, legal fees, and related expenses will be the Client’s responsibility.
ACCEPTANCE OF AGREEMENT
Payment of the initial project deposit constitutes full acceptance of all terms in this General Graphic Design Services Agreement.
CLIENT DELAYS AND PROJECT EXTENSION
The Client understands and agrees that timely delivery of information, materials, approvals, and feedback is essential to meeting project timelines.
If the Client delays more than 14 business days in providing required materials or approvals, or if the project exceeds more than double the originally estimated timeline due to delays attributable to the Client, the project will be considered automatically concluded, whether completed or not.
In such cases, the Client must pay the full project amount.
To resume the project later, a fee adjustment will be made based on the time elapsed and the remaining work. Restarting the project will be treated as a new project or a new phase.
